Terms and Conditions of Sale

These Terms and Conditions apply to retail transactions with Portland Compressor, Inc. By placing an order through our website, by phone, by email, or through any other retail sales channel, you agree to the terms listed below.

Portland Compressor, Inc. is located at 7440 SW Bonita Road, Portland, OR 97224. Customers may contact us by phone at 800-542-8300.

These terms may be updated at any time without prior notice. The version posted on our website at the time of purchase will apply to that transaction.

Quotes and Orders

Formal written quotes are valid for 30 days unless otherwise stated in writing. Quotes are subject to change due to manufacturer price changes, tariff changes, freight increases, product availability, or other factors outside of our control.

Portland Compressor, Inc. reserves the right to accept, reject, cancel, or modify any order at our discretion. This may include, but is not limited to, concerns related to payment method, billing or shipping address, product availability, suspected fraud, customer requirements that are not feasible, or other business considerations.

Purchase orders, customer-supplied terms, or other documents provided by a customer do not override these Terms and Conditions unless specifically agreed to in writing by Portland Compressor, Inc.

Backorders may be allowed when products are temporarily unavailable. Product images, descriptions, specifications, availability, and pricing are provided for general reference and may change without notice.

Pricing and Payment

All prices are listed in U.S. dollars. Website prices do not include applicable sales tax, shipping charges, freight charges, handling charges, or other fees unless specifically stated.

For retail and cash accounts, payment is due at checkout or before shipment. Products will not ship until payment has been received and approved.

Approved Net 30 accounts are required to pay invoices within 30 days of the invoice date. Open account terms are available only to customers who have been reviewed, financially vetted, and approved by Portland Compressor, Inc. Net 30 terms are generally reserved for customers with recurring business and are not typically offered for one-time transactions.

If a Net 30 account becomes past due, the account may be placed on credit hold until payment is received. Portland Compressor, Inc. reserves the right to suspend shipments, delay order processing, or require payment in advance for future orders.

We accept several payment methods, including credit card, PayPal, check, ACH, wire transfer, financing, and purchase order for approved Net 30 customers. Purchase orders are only accepted from customers with approved credit terms.

Credit card processing fees may be passed through to the customer depending on the product, transaction type, and total sales amount.

Refunds, when approved, will be issued to the original payment method unless otherwise agreed to by Portland Compressor, Inc.

Portland Compressor, Inc. reserves the right to cancel or correct any order containing pricing errors, product listing errors, availability errors, or other website inaccuracies.

Sales Tax

Portland Compressor, Inc. collects sales tax where required by law. We currently collect sales tax in states where we have sales tax nexus, including Washington, California, Florida, and Texas.

Tax-exempt customers must provide a valid resale certificate or exemption certificate before placing an order. Website orders cannot accept tax-exempt certificates at checkout. Tax-exempt customers must call in their order, and the resale or exemption certificate must be approved and on file before shipment.

Sales tax will not be refunded after purchase if the customer failed to provide an approved tax-exempt certificate before the order was placed.

Customers are responsible for any use tax, sales tax, or other tax obligations not collected by Portland Compressor, Inc.

Shipping and Delivery

Portland Compressor, Inc. ships products using carriers that may include UPS, USPS, FedEx, LTL freight carriers, manufacturer-direct freight, or other shipping methods. We reserve the right to choose the shipping carrier and shipping method at our discretion.

Delivery dates are estimates only and are subject to change. Portland Compressor, Inc. is not responsible for delays caused by carriers, manufacturers, suppliers, weather, labor disruptions, incorrect shipping information, or other circumstances outside of our control.

We ship within the United States, including all 50 states and the District of Columbia. We do not currently ship internationally. Smaller orders may be eligible to ship to PO Boxes, depending on carrier requirements and product size.

Shipping charges depend on the product, order type, customer type, and shipping destination. Some products may qualify for free shipping. Other products do not. Wholesale accounts do not qualify for free shipping, promotions, or coupon-based freight offers unless specifically agreed to in writing.

LTL freight shipments are excluded from free shipping unless the item is specifically marked or quoted as free freight.

Unless otherwise stated in writing, shipments are FOB shipping point, and risk of loss transfers to the customer when the product is shipped.

Customers are responsible for unloading freight shipments. Products shipped by LTL freight may require a forklift, loading dock, or liftgate. If a customer does not have access to a forklift or loading dock, the shipment may need to be marked for liftgate delivery.

Additional charges for liftgate service, residential delivery, limited access delivery, redelivery, storage, appointment delivery, address correction, or other carrier-assessed fees are the customer's responsibility.

Freight Damage and Delivery Inspection

Customers are responsible for carefully inspecting freight shipments before signing the delivery receipt.

Before signing for a freight shipment, the customer should inspect the entire shipment while the driver is present. This includes removing packaging as needed, checking the product, inspecting the pallet or crate, and looking for visible damage.

If there is damage, the customer should contact Portland Compressor, Inc. for instructions before signing the delivery receipt. Visible damage must be clearly noted on the bill of lading or delivery receipt. If a shipment is obviously damaged, the customer should refuse the shipment unless otherwise instructed by Portland Compressor, Inc.

Concealed damage must be reported within one business day of delivery. Claims reported after this period may not be eligible for assistance or reimbursement.

Photos may be required, including photos of the damaged product, packaging, pallet or crate, and delivery paperwork.

Freight claim responsibility may depend on the shipment type, carrier, and circumstances. Portland Compressor, Inc. will assist when appropriate, but if a customer signs for a shipment free and clear without noting damage, the customer may be fully responsible for the damaged product and any denied freight claim.

Returns and Cancellations

Returns may be accepted on certain stocked products, but not all items are eligible for return. All returns require prior authorization from Portland Compressor, Inc. Unauthorized returns may be refused.

Return requests must be made within 14 days of purchase or delivery, unless otherwise stated in writing.

Returned products must be unused, uninstalled, in original packaging, complete with all parts and documentation, and in resalable condition.

The customer is responsible for return freight unless otherwise agreed to in writing. Original outbound shipping charges are not refundable.

A restocking fee of 15% may apply depending on the item purchased, the product condition, and the vendor or manufacturer return policy.

The following items may be non-returnable or returnable only with approval: electrical parts; special-order items; installed parts; used equipment; opened lubricants; custom-built compressors; manufacturer-direct shipped items; compressor pumps; motors; pressure switches; valves; and other items subject to manufacturer or vendor restrictions.

Orders cannot be cancelled after they have shipped. Special-order items and factory-direct items cannot be cancelled once the order has been placed with the manufacturer or supplier.

Warranties

Product warranties vary by manufacturer and product type. Portland Compressor, Inc. may provide warranty support or pass through the manufacturer's warranty depending on the product.

Most product warranties are handled according to the manufacturer's warranty policy. Customers are responsible for following all manufacturer requirements for installation, startup, operation, and maintenance.

Warranty coverage may be denied if the customer uses the wrong oil, fails to properly maintain the equipment, installs the product incorrectly, uses non-OEM parts, operates the equipment outside recommended specifications, modifies the product, or fails to follow manufacturer instructions.

Some compressors and equipment may require authorized startup to qualify for warranty coverage. Some products may also require startup kits, maintenance kits, or extended warranty kits to receive full warranty coverage.

Warranty labor is covered only when allowed under the applicable manufacturer warranty policy. Unless specifically stated, Portland Compressor, Inc. is not responsible for labor, travel, downtime, rental equipment, lost production, or other costs associated with a warranty claim.

Used, clearance, open-box, scratch-and-dent, discontinued, or closeout items may be sold as-is, without warranty, unless otherwise stated in writing.

Product Selection and Application

Customers are responsible for confirming that the products they purchase are suitable for their intended application. Portland Compressor, Inc. can assist customers in selecting products, but any recommendation is based on the information provided by the customer.

Customers are responsible for verifying proper sizing, electrical requirements, voltage, phase, air demand, pressure requirements, ventilation, installation conditions, local code requirements, and compatibility with their existing system.

Portland Compressor, Inc. is not responsible for performance issues caused by incorrect, incomplete, or inaccurate information supplied by the customer.

If a customer's business or operation is dependent on continuous compressed air, the customer is responsible for having backup air, redundancy, or contingency plans in place.

Website Use

The information on our website is provided for general product and purchasing purposes. While we work to keep information accurate, Portland Compressor, Inc. does not guarantee that all product descriptions, specifications, images, prices, availability, or other content are error-free.

Users agree not to misuse the website, interfere with its operation, attempt unauthorized access, scrape content, use automated tools in a harmful manner, submit fraudulent orders, or engage in activity that could damage the website or business operations of Portland Compressor, Inc.

We reserve the right to correct errors, update information, cancel orders, restrict access, or refuse service when appropriate.

Intellectual Property

All website content, including product descriptions, images, graphics, logos, page layouts, written content, and other materials, is the property of Portland Compressor, Inc. or its respective owners and may not be copied, reproduced, republished, or used without written permission.

Manufacturer names, product names, logos, trademarks, and images remain the property of their respective manufacturers or trademark owners.

Customers and third parties may not use content from the Portland Compressor, Inc. website for commercial purposes without prior written approval.

Export and Restricted Sales

Portland Compressor, Inc. does not currently ship outside the United States.

Customers may not purchase products for export, resale, or transfer in violation of U.S. export laws, sanctions, or other applicable regulations. Some products may be subject to export restrictions.

Portland Compressor, Inc. reserves the right to refuse, cancel, or hold any order that appears to involve restricted countries, sanctioned parties, suspicious transactions, export concerns, or other legal or compliance risks.

Force Majeure

Portland Compressor, Inc. is not responsible for delays, nonperformance, or failure to fulfill an order caused by events outside of our reasonable control. This may include manufacturer delays, supplier delays, freight delays, labor shortages, strikes, natural disasters, severe weather, pandemics, cyberattacks, tariffs, supply chain disruptions, government actions, acts of war, or other events beyond our control.

Limitation of Liability

To the fullest extent allowed by law, Portland Compressor, Inc. shall not be liable for indirect, incidental, special, punitive, or consequential damages.

This includes, but is not limited to, lost profits, lost production, business interruption, downtime, loss of compressed air, spoiled product, rental equipment, lost revenue, lost opportunity, or other damages resulting from product failure, shipment delay, warranty claim, incorrect product selection, installation issues, or other transaction-related matters.

Portland Compressor, Inc.'s maximum liability shall not exceed the amount paid by the customer for the specific product or service giving rise to the claim.

Customers whose operations depend on continuous compressed air are responsible for maintaining backup equipment, redundancy, emergency air options, or other contingency plans.

Dispute Resolution and Governing Law

These Terms and Conditions are governed by the laws of the State of Oregon.

Before filing a lawsuit, the parties agree to first attempt to resolve disputes through good-faith communication. If the dispute cannot be resolved informally, the parties agree to attempt mediation. If mediation is unsuccessful, the parties may proceed to arbitration or litigation as allowed by law or as otherwise agreed in writing.

Any claim related to a transaction with Portland Compressor, Inc. must be brought within one year of the date the claim arose, unless a longer period is required by applicable law.

Each party is responsible for its own attorney fees and costs unless otherwise required by law or agreed to in writing.

Wholesale Accounts, Promotions, and Special Policies

Wholesale customers may be subject to different pricing, freight terms, payment terms, and return policies than retail customers.

Website promotions, coupon codes, and free shipping offers are not available to wholesale accounts unless specifically approved in writing.

Portland Compressor, Inc. reserves the right to correct website pricing errors, product errors, or availability errors at any time.

Price matching may be available at our discretion and is not guaranteed.

Portland Compressor, Inc. sells discontinued, superseded, and replacement parts when available. If a manufacturer changes or supersedes a part number, we may provide the updated replacement part number. Substitute or equivalent parts will only be provided with customer approval.

Returns on compressor pumps, motors, pressure switches, valves, electrical components, lubricants, and similar products are accepted only with prior approval.
